Client Responsibilities

Failure to fulfill these responsibilities may result in delays, suboptimal results, or termination of engagement, at the sole discretion of Snovio Referral.

Intellectual Property Rights

All intellectual property rights in services provided by Snovio Referral remain the property of Snovio Referral or its licensors.

  • You are granted a limited, non-exclusive, non-transferable license to use deliverables for your business during engagement.

  • You do not own the IP rights to work we create (e.g., designs, content, campaigns). You may use them for your business, provided you comply with this agreement.

  • You agree not to modify, reproduce, distribute, or create derivative works from our IP without prior written consent.

  • If you provide us with your IP (e.g., logos, trademarks), you grant us a limited license to use it for delivering services.

Confidentiality

Both parties agree to maintain confidentiality of all information disclosed during engagement, including trade secrets, business plans, and financial or client data.

Confidentiality obligations survive termination for one year. If disclosure is required by law, the disclosing party will notify the other and cooperate to preserve confidentiality.

Limitation of Liability

Snovio Referral shall not be liable for indirect, incidental, or consequential damages from use of our services. Our liability is capped at the amount paid for the specific service or campaign.

This limitation does not apply in cases of gross negligence, willful misconduct, or fraud.

Indemnification

The client agrees to indemnify and hold harmless Snovio Referral, its officers, directors, employees, and agents from claims, damages, or expenses arising from use of our services or violation of these terms.

For example, if a client distributes content that infringes third-party IP, the client is responsible for defending against related legal action.

Termination

Either party may terminate engagement at any time with written notice. Clients remain responsible for all fees and expenses incurred up to the termination date.

Both parties agree to cooperate in good faith to ensure a smooth transition.

Governing Law and Jurisdiction

These terms are governed by the laws of Colorado. Any disputes shall be resolved in the courts of Colorado.

Miscellaneous Provisions

  • Entire Agreement: These terms supersede prior understandings.

  • Severability: If one provision is unenforceable, others remain valid.

  • Assignment: Clients may not transfer these terms without prior written consent.

  • Force Majeure: Neither party is liable for non-performance due to events beyond control.

  • Notices: Must be in writing and delivered to provided addresses.

  • Waiver: Failure to enforce a provision does not waive rights.

  • Survival: Confidentiality, IP, liability, and indemnification provisions survive termination.
